Takeda ups its offer for Shire

The new proposal marks at least the fifth attempt by Takeda to woo Shire since it first expressed interest in a takeover less than four weeks ago.

The new offer of £49/share (up 4% from Friday's £47/share, up 11% from initial bid) comprises £21.75 cash, with the remaining £27.26 in newly issued Takeda shares. That rings up at 0.839 new Takeda shares and $30.33 for each Shire share - or close to $65 billion, with Takeda tacking on about $2.5 billion.

Any deal between the two companies is still subject to the resolution of several issues, including completion of due diligence by Shire on Takeda, Shire said. BNP Paribas restated an outperform rating and set a GBX 4,700 ($65.55) price target on shares of Shire in a research note on Monday, April 9th. Thursday also saw traditionally M&A-happy Allergan reveal that it had muscled its way into a spot at the dealmaking table, only to turn around and walk away a few hours later, to the market's great relief.

Shire, which rebuffed the first three Takeda approaches, saw its shares rise almost 4% in afternoon trading.

S&P Global Ratings has said the acquisition could hurt Takeda's credit score. Prior to Takeda's approach, Shire was already considering divestments and a split in its operations.




The deal would represent Takeda's biggest-ever takeover, according to Japanese media.

The companies now have until May 8 under an extended deadline to thrash out the finer points of the deal and while Takeda kicks the tyres at Shire before its board gives final approval.

LONDON, April 25 (Reuters) - The prospect of a £64 billion bid for British drug maker Shire failed to lift the United Kingdom stock market on Wednesday as worries about rising US bond yields continue to drag global markets down. But not by the direction of Takeda's share price, which they are nearly certain to be watching closer than to their own stock.

Among 14 analysts covering Shire (NASDAQ:SHPG), 11 have Buy rating, 0 Sell and 3 Hold.

Weber was promoted to CEO in 2015, becoming the drugmaker's first non-Japanese boss. If the takeover occurs, then it would be one of the biggest acquisitions in the sector.
